Rubykirwan provides interior architecture and spatial curation services, including spatial planning, custom furniture drafting, lighting layout orchestration, and acoustic panelling selection. All services are delivered under a written agreement that defines the specific scope, deliverables, timeline, and fees. Any changes to the scope must be agreed upon in writing.
The client agrees to provide accurate information about the premises, intended use, and any structural or regulatory constraints. The client is responsible for obtaining all necessary permits and approvals unless otherwise stated in the agreement. Delays caused by incomplete or inaccurate client information may affect the project timeline and are not the responsibility of Rubykirwan.
All designs, drawings, plans, and specifications produced by Rubykirwan remain the intellectual property of Rubykirwan until full payment is received. Upon final payment, the client receives a non-exclusive license to use the deliverables for the intended project. Rubykirwan retains the right to display completed projects in its portfolio unless otherwise agreed.
Rubykirwan's liability is limited to the total fees paid for the specific project giving rise to the claim. In no event shall Rubykirwan be liable for indirect, incidental, or consequential damages, including loss of use, loss of profits, or interruption of business. This limitation applies even if Rubykirwan has been advised of the possibility of such damages.
Either party may terminate the agreement with 30 days' written notice. In the event of termination, the client shall pay for all services rendered and expenses incurred up to the effective date of termination. Rubykirwan reserves the right to terminate the agreement immediately if the client fails to comply with payment terms or provides misleading information.

These terms are governed by the laws of the State of New York. Any disputes arising from these terms or the services provided shall be resolved in the courts of New York County. The client agrees to submit to the personal jurisdiction of these courts.
